The Function of a Series LLC
How a single LLC becomes many. The parent files once, pays taxes once, and maintains one operating agreement, while each internal series operates as its own liability-isolated cell.
One Parent Entity Containing Separate Series

A series LLC is a statutory creation available in roughly twenty states. It allows the owner to form a single parent LLC and then establish any number of internal series inside it, each treated as a separate entity for liability purposes but operating under the parent's single formation document, single tax filing, and single governing agreement.
For owners of multiple assets (particularly real estate), the series LLC collapses what would otherwise be a portfolio of separate LLCs into a single structure. The protection is nearly equivalent, the administrative burden drops dramatically, and the cost to add a new compartment approaches zero.
The structures described here are architectural patterns that require careful customization to the specific facts of each client, jurisdiction, and set of planning objectives. These diagrams and summaries exist to build vocabulary and pattern recognition, not to substitute for qualified counsel.
